Terms of Service - Kulawise

Welcome to Kulawise.

These Terms of Service ("Terms") govern your access to and use of the Kulawise mobile app, website, and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and User Accounts

To use Kulawise, you must be at least 18 years old. When creating an account, you agree to provide accurate, current, and complete information. You are responsible for safeguarding your password and for any activities under your account. You must notify us immediately if you become aware of any breach of security or unauthorized use of your account.

2. Acceptable Use

You agree not to engage in any of the following:

Copying, distributing, or disclosing any part of the Service in any medium.
Interfering with, compromising the integrity or security of, or deciphering any transmissions to or from the servers running the Service.
Imposing, or attempting to impose, an unreasonable load on our infrastructure.
Uploading invalid data, viruses, worms, or other software agents through the Service.
Using the Service for any commercial solicitation purposes without our written consent.

3. Wallet, Circles, and Transaction Fees

Wallet Custody

Funds you add to your Kulawise wallet are processed and held by our licensed payment partners under their applicable regulatory authorizations. Kulawise maintains a closed-loop ledger that records your balance based on confirmed transactions. Your wallet balance is usable only within Kulawise.

Your wallet balance is not a bank deposit, is not insured by the Nigeria Deposit Insurance Corporation (NDIC), and does not earn interest.

You can use your wallet to:

Subscribe to Circles
Pay for Circle memberships
Fund paid challenges you create
Withdraw your unused balance to a verified bank account, subject to verification and applicable processing times

You cannot transfer wallet balance directly to another Kulawise user or to merchants outside Kulawise.

Circle Subscription Fees

When a user subscribes to a Circle, a platform service fee of 6 to 8 percent is deducted before the Circle creator receives their payout. This fee is disclosed at the point of purchase. Creators set their own subscription pricing within platform limits.

Payment Processing

By using payment features, you also agree to the terms of service of the payment processor handling your transaction. Failed transactions, disputed charges, and refund requests are handled in accordance with the relevant processor's rules and our dispute resolution procedure.

4. Subscriptions and Refunds

Certain features of Kulawise require a subscription or one-off payment. By using paid features, you agree to the pricing and payment terms displayed in the app or website. Subscriptions may renew automatically unless cancelled before the renewal date. We may change our prices at any time, with notice for material changes. All payments are non-refundable except as required by law.

5. User Content

By posting content in Circles (messages, photos, challenge submissions, comments), you grant Kulawise a non-exclusive, royalty-free, worldwide licence to display and distribute that content within the platform for the purpose of operating the Service. You retain ownership of your content. You are solely responsible for content you post and agree not to post content that is defamatory, abusive, sexually explicit, or that violates any third party's rights. Kulawise may remove content that violates these Terms.

6. Circle Creator Obligations

If you operate a paid Circle on Kulawise, you agree to:

Deliver the content, programming, or community experience you have advertised to subscribers
Maintain reasonable engagement with active subscribers during their subscription period
Provide at least 14 days notice before ceasing operation of a Circle
Comply with all applicable Nigerian laws governing your professional practice, particularly where you offer services that require licensing or certification (e.g. nutrition, fitness coaching, mental health)
Refrain from offering medical diagnosis, treatment, or prescription unless you hold the required professional credentials

Users can report Circles that fail to deliver promised value. Kulawise will review reports and take appropriate action, which may include warnings to the creator, temporary suspension, or removal of the Circle. Kulawise does not guarantee refunds for past subscription periods.

Creator Payouts

Payouts to creators are processed via our licensed payment partners to the verified bank account on file. Kulawise initiates payout instructions on a daily settlement cycle. Processing times beyond initiation are governed by the relevant payment processor and the receiving bank.

If a payout fails due to incorrect account details provided by the creator, the funds will be held in pending status until corrected details are submitted. Funds held in pending status for more than 90 days due to creator inaction may be subject to administrative review.

7. Medical Disclaimer

Kulawise is not a medical or clinical service. The content provided by Kulawise, including AI outputs, professional advice from Circle creators, meal plans, and wellness insights, is for informational purposes only and is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified physician or health provider for questions regarding any medical condition.

8. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Kulawise and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Kulawise.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Kulawise, its affiliates, directors, employees, and licensors will not be liable for any direct, indirect, punitive, incidental, special, consequential, or exemplary damages, including damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from your use of or inability to use the Service.

10. Termination

We may suspend or terminate your account for breach of these Terms, fraudulent activity, or conduct harmful to other users or the platform. Where possible, we will notify you before termination and give you an opportunity to remedy the breach.

For all users, upon termination:

Your access to the Service will cease
Any wallet balance will be returned to your verified bank account, net of outstanding fees, within 14 business days
You may request a data export before termination takes effect

For Circle creators, upon termination:

Active subscriptions to your Circles will be cancelled and subscribers will not be charged for future billing cycles
Affected subscribers will be notified within 48 hours
Pending creator payouts will be released to your bank account, net of any outstanding obligations

You may also terminate your account at any time by contacting support or using the in-app account deletion feature.

11. Dispute Resolution and Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. In the event of any dispute, you agree to first attempt to resolve the matter informally by contacting us. If the dispute cannot be resolved informally, it will be subject to the exclusive jurisdiction of the courts of Nigeria.

12. Changes to Terms

We may modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice before the new terms take effect. By continuing to access or use the Service after revisions take effect, you agree to be bound by the revised Terms.
